An association may take an action (vote) without a meeting of the members by the written consent process.  The Nonprofit Act, specifically Utah Code Section 16-6a-707 "Action without meeting" (of the members), deals with taking action by written consent without a meeting and without prior notice, such as by a petition that is circulated among members and signed as it is circulated, but is not necessarily sent out to all members in advance of a particular deadline.  Section 16-6a-709 "Action by written ballot" also deals with taking action by members without a meeting, but by written ballot delivered to all members in advance of the deadline for returning the ballots.
