derivative suits
A member of a nonprofit corporation may bring a suit in the right of a nonprofit corporation (on behalf of the corporation) seeking a judgment in the corporation's favor. The member must fairly and adequately represent the nonprofit corporation's interests in enforcing the corporation's right.
